What you will do
- Manage the end-to-end administration of international equity programs, including processing new RSU/PRSU grants, releases, and ESPP purchases.
- Support public company compliance by providing required SEC filings (Forms 3, 4, and 5) and Rule 144.
- Provide guidance and support to the executive team, reviewing prospective 10b5-1 trading plans and tracking Ownership Guideline Compliance.
- Serve as a primary contact for the Transfer Agent, brokers, and internal teams, providing critical equity expertise and support.
- Prepare documentation for the annual Proxy statement, including Pay vs. Performance calculations and equity tables.
- Support all period-end and year-end reconciliation processes and manage Form 6039 reporting.
Requirements
- 5+ years of progressive equity administration experience within a publicly traded company.
- Deep knowledge of equity instruments (RSUs, PRSUs, and ESPP) and understanding of their domestic and international tax implications.
- Proactive, self-directed work ethic with the ability to manage multiple priorities and meet deadlines.
- Exceptional people skills, with the ability to build relationships and convey complex information.
- Advanced proficiency in Microsoft Excel and the entire Office Suite.
